1. Acceptance of Terms

By signing up for, accessing, or using the TrustPro application and services provided by TrustPro Software Ltd ("TrustPro," "we," "us," or "our") at trustpro.io ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

TrustPro is a business management platform that allows users to:

  • Create and send professional estimates and invoices
  • Manage customer profiles and relationships
  • Process payments and receive payouts
  • Search and vet potential customers
  • Track business operations and metrics
  • Collaborate with team members (Teams plan)

The Service is provided on an "as-is" and "as-available" basis. We reserve the right to modify or discontinue the Service (or any part thereof) at any time with reasonable notice.

3. Eligibility

In order to use the Service, you must:

  1. Be at least 18 years old or the age of majority in your jurisdiction.
  2. Have the legal capacity to enter into binding contracts.
  3. Provide accurate, current, and complete registration information.
  4. Ensure that your use of the Service complies with all applicable laws and regulations.
  5. Not be prohibited from using the Service under any applicable laws.

4. Account Registration and Security

Account Creation: You must create an account to access the Service. TrustPro is a Customer Relationship Management (CRM) platform where all features and data are inherently account-specific. Account registration is required because:

  • All CRM data (customers, invoices, estimates) belongs exclusively to your account
  • Your subscription is tied to your account for access across all your devices
  • Team collaboration requires user identity for access control
  • Data security requires authentication to protect your business information

You agree to provide accurate, current, and complete information during registration and keep your account information updated.

Account Security: You are responsible for safeguarding your password and maintaining the security of your account. You agree not to disclose your password to any third party.

Unauthorized Access: You must immediately notify us at support@trustpro.io of any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized access that results from your failure to safeguard your credentials.

5. Subscription Plans and Fees

Free Trial: New users may be eligible for a 14-day free trial. No credit card is required for the trial period.

Subscription Plans: We offer the following subscription plans:

  • Core ($29/month): For individual professionals
  • Teams ($149/month): For growing businesses with up to 5 team members

Payment Information: You must provide valid payment information. By providing payment information, you authorize us to charge the applicable subscription fees.

Automatic Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

Refunds: All fees are non-refundable unless otherwise required by law or stated in writing.

6. Payment Processing

Stripe Connect: All payment processing services are provided by Stripe, a PCI-compliant payment processor. By using our payment features, you agree to Stripe's terms of service and privacy policy.

Data Security: TrustPro does NOT store credit card numbers, bank account numbers, or other sensitive financial information. All payment data is securely handled and stored by Stripe. We only maintain reference identifiers to link your TrustPro account with your Stripe Connect account.

Transaction Fees: Standard payment processing fees apply to transactions. Instant payouts incur an additional 1% fee.

Payouts: Bank account information for receiving payouts is collected and stored securely by Stripe, not by TrustPro. We are not liable for delays or issues caused by incorrect banking information provided to Stripe.

7. User Responsibilities

Compliance: You agree to use the Service in compliance with all applicable laws, regulations, and these Terms.

Content: You are solely responsible for all content you upload, post, or otherwise transmit via the Service, including customer data, estimates, and invoices.

Prohibited Activities: You agree not to:

  • Use the Service for any illegal purpose
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Impersonate any person or entity
  • Collect user data without consent
  • Use the Service to send spam or unsolicited communications

8. Content and Data Ownership

Your Content: You retain ownership of all content you submit to the Service, including customer data, business information, and documents. You grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely to provide the Service.

Data Protection: We will maintain appropriate administrative, physical, and technical safeguards to protect the security, confidentiality, and integrity of your data as described in our Privacy Policy.

Data Export: You may export your data at any time through the Service.

9. Intellectual Property Rights

Our Content: TrustPro Software Ltd retains all rights, title, and interest in and to the Service, including all related intellectual property rights, trademarks, and trade secrets.

Restrictions: You agree not to copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of any part of the Service or included software.

10. Third-Party Services

The Service integrates with third-party services including but not limited to:

  • Stripe (payment processing - handles all financial data securely)
  • Email service providers
  • SMS/messaging services

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, practices, or availability of third-party services.

11. SMS/Text Messaging Program Terms

TrustPro Ltd offers an optional SMS text messaging program. The SMS program is completely voluntary, entirely separate from the TrustPro Service, and governed by the following terms. By opting in to the SMS program, you agree to these terms.

Consent Is Voluntary and Not Required: Opting in to receive SMS text messages from TrustPro Ltd is completely voluntary. Consent to receive SMS messages is not a condition of purchasing any goods or services, completing any transaction, creating a TrustPro account, or using any feature of the TrustPro platform. You may create an account, subscribe to any plan, and use every feature of TrustPro without ever opting in to SMS messaging. Declining to opt in will not affect your access to or use of the Service in any way.

Sole Opt-In Method: The only way to opt in to receive SMS messages from TrustPro Ltd is by visiting our dedicated SMS opt-in page at trustpro.io/sms-opt-in, entering your mobile phone number, affirmatively checking an unchecked consent checkbox, and submitting the form.

Program Description: If you opt in, you may receive recurring automated SMS text messages from TrustPro Ltd consisting of promotional offers, product updates, and company news. Messages are sent from TrustPro Ltd.

Message Frequency: Message frequency varies. You may receive up to 4 messages per month.

Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier and plan. TrustPro Ltd is not responsible for any charges imposed by your wireless carrier.

Opting Out (STOP): You may opt out of receiving SMS messages at any time by replying STOP to any SMS message you receive from TrustPro Ltd. After replying STOP, you will receive one final confirmation message and will receive no further SMS messages from us unless you re-subscribe through our opt-in page. Opting out of SMS will not affect your ability to use TrustPro or any of its features.

Help (HELP): For assistance with SMS messaging, reply HELP to any TrustPro SMS message, email support@trustpro.io, or call (720) 598-1269.

No Sharing of Mobile Information with Third Parties: TrustPro Ltd will not sell, rent, lease, loan, trade, or share mobile phone numbers or SMS opt-in consent information with any third parties or affiliates for any purpose, including marketing, promotional, or lead-generation purposes. Mobile opt-in data is excluded from all data-sharing categories described in our Privacy Policy. Mobile phone numbers are shared only with our licensed SMS messaging service provider solely for the technical purpose of delivering the messages you have consented to receive, and that provider is contractually prohibited from using your phone number for any other purpose.

Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages. TrustPro does not guarantee delivery of SMS messages and is not responsible for messages that are not delivered due to carrier issues or device incompatibility.

Supported Carriers: SMS messaging is supported on major U.S. carriers. Service may not be available on all wireless carriers or devices.

12. Apple App Store Terms

If you access TrustPro through our iOS mobile application downloaded from the Apple App Store, the following additional terms apply:

In-App Purchases: Subscriptions purchased through the iOS app are processed by Apple. Payment will be charged to your Apple ID account at confirmation of purchase.

Automatic Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

Managing Subscriptions: You can manage and cancel subscriptions by going to your Account Settings on your device after purchase.

Apple as Third-Party Beneficiary: Apple is a third-party beneficiary of these Terms and may enforce these Terms against you. Apple has no obligation to furnish maintenance and support services with respect to the App.

13. Disclaimers and Limitation of Liability

Disclaimers: THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUSTPRO SOFTWARE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless TrustPro Software Ltd and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use or misuse of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

By You: You may cancel your subscription and terminate your account at any time through the Service or by contacting us at support@trustpro.io.

By Us: We may suspend or terminate your access to the Service immediately if you violate these Terms or engage in conduct that we determine is harmful to the Service or other users.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will retain your data for a reasonable period to allow you to export it, after which it may be deleted.

16. Changes to the Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service, updating the "Last Updated" date, and/or sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

17. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

Dispute Resolution: Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

18. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TrustPro Software Ltd regarding the Service.

Severability: If any provision of these Terms is held invalid or unenforceable, the remainder shall continue in full force.

Waiver: Our failure to enforce any right or provision shall not constitute a waiver of future enforcement.

Assignment: You may not assign or transfer these Terms without our prior written consent.
